Vendor Partner Agreement

1. Relationship
Vendors listed on Okim Logistics operate as independent businesses, not as employees, agents, or partners of Okim Logistics (operating under Okim Global World).
2. Listing Requirements
To list on the Okim marketplace, a vendor must:
- Operate from a verifiable physical location in Ibadan
- Provide accurate business information, menu/product listings, and pricing
- Maintain food safety and hygiene standards appropriate to their category (for food vendors)
3. Order Fulfillment
- Vendors are responsible for preparing orders accurately and within a reasonable time after acceptance.
- Vendors must update order status (e.g., "Preparing," "Ready for Pickup") promptly so riders can be dispatched without delay.
- Vendors must have orders ready at the time communicated to the platform and rider.
4. Pricing and Commission
- Vendors set their own menu/product pricing, subject to Okim Logistics' review for platform consistency.
- Okim Logistics charges a commission of Needs input: confirmed commission rate on each order fulfilled through the platform.
- Vendor payouts are settled Needs input: confirmed settlement frequency, net of commission.
5. Quality Standards
Okim Logistics reserves the right to suspend or remove a vendor listing for repeated quality complaints, food safety violations, inaccurate listings, or failure to fulfill accepted orders.
6. Menu and Availability Management
Vendors are responsible for keeping their menu/product listings and item availability accurate and current, or promptly notifying Okim Logistics of changes needed Needs input: confirm process — vendor self-service portal is Phase 2; at MVP, admin manages this on vendor's behalf per the product spec.
7. Liability
Vendors are solely responsible for the quality, safety, and accuracy of the items they prepare or supply. Okim Logistics is not liable for issues arising from the vendor's product itself (e.g., food quality, allergens), only for issues arising from the delivery process.
8. Term and Termination
This Agreement remains in effect while a vendor is listed on the platform. Either party may terminate the listing with reasonable notice Needs input: confirm notice period, e.g. 14 days.
9. Changes to This Agreement
Okim Logistics may update this Agreement from time to time, with notice to listed vendors.
